Corporate – subscription- Hire Contract Form

This Contract for Flower Arrangement Hire Services ("Contract") is entered into between [Company Name], ("Client"), and Flower Nation ("Service Provider").

1. Services: Flower Nation agrees to provide ONGOING flower arrangement hire services to the Client in accordance with the terms outlined in this Contract.

2. Duration: The duration of the flower arrangement hire shall be as agreed upon in the Subscription selection. 

a minimum of 6 weeks for Weekly subscription

a minimum of 2 month for Monthly subscription

3. Payment: The Client agrees to pay the WEEKLY Hire Fee as specified in the invoice provided by Flower Nation via Xero. 

4. Delivery and Collection: Flower arrangements will be delivered to the specified location and changes out as per selected subscription plan. The Client shall be responsible for providing clear access to the delivery area. Collection of the flower arrangements shall occur at the end of the hire period. Quarterly changes to occur with Quarterly or Annual subscription selection.

5. Care and Maintenance: The Client agrees to handle the flower arrangements with care and shall not make any alterations to the arrangements without prior consent from Flower Nation. Any damage to the arrangements during the hire period shall be the responsibility of the Client and may result in additional charges.

6. Liability: Flower Nation shall not be liable for any injury, loss, or damage resulting from the use of the flower arrangements during the hire period.

7. Termination: Either party may terminate this Contract by providing written notice to the other party. In the event of termination, any outstanding payments for the agreed upon Subscription lenght shall become immediately due and payable.

8. Governing Law: This Contract shall be governed by and construed in accordance with the laws of Western Australia.

9. Entire Agreement: This Contract constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter herein.

FREE DELIVERY -within 30km if you selected the Annual subscription-  or reduced rate for further distances

Our delivery fees are based on the distance of your venue from Flower Nation headquarters in Bull Creek,

• within 15 km (e.g. Perth City, Fremantle) - $15
• within 30 km (e.g. Swan Valley) - $30
• within 50 km (e.g. Jarrahdale, Rockingham, Joondalup) - $50

1. FN will provide the Hirer with a document regarding the care, handling and limitations, storage and/or proper and appropriate use of the hired items.
2. It is FN responsibility to ensure that all Hire stock is free of damage, looking its best and suitably installed/set up.
3. All Hire items are checked by FN staff, after they have been returned from previous hires as well as when they are delivered/set up & collected from your company 
4. In the unlikely event that Flower Nation is unable to fulfil the order for reasons including, but not limited to, force majeure, illness, accident, or injury, I reserve the right to cancel the Subscription and refund all monies paid prior to this date. All reasonable care will be taken to mitigate impact.

1. Acknowledgment of the nature of the product and variations within the items. Although great care has been taken to make all the multiples of an item as similar as possible, the ingredients are a natural product and therefor exact copies cannot be achieved. 2. EVENT /OUTDOOR usage- In the circumstance that wish to move your HIRE florals from the location we have delivered and set it up in (ie front desk) and use for internal Events or Outdoor locations- permission must be sought in writing to Katharina@flowernationcom.au

The flowers and foliage are humidity sensitive and will damage when used in moist environments. You will be liable for replacement costs. 

3. Sparklers, open candles, and Fireworks: Dried flowers are extremely flammable, and are not permitted to be used with any kind of firework closer than 3m (even the “cold flames” sparklers). If clients' own candles are used, they must be LED unless florals are enclosed like the terrarium or cylinder.
3. Dislike, Changes and Cancellations: Should you need to cancel a subscription, adjust the subscription format, or dont like the delivered items - please advise FN as soon as it becomes apparent, via email to katharina@flowernation.com.au or phone 0404 515 141.
   1. Cancellation of Subscription prior to agreed term having been completed - If you need to cancel your ongoing floral subscription you will be liable to pay out the remainder of your agreed term or minimums that apply to the categories ( weekly - 6 weeks and Monthly -2 month).
   2. Downgrades: If you wish to downgrade your subscription term, such as moving from Quarterly to Monthly, please inform us before the end of your current quarter. We will then adjust your subscription price accordingly, starting from the beginning of the next month in the following quarter.
   3. Upgrades: If you wish to upgrade your subscription term, such as moving from Monthly to Quarterly, please inform us before the end of your current billing cycle. We will then adjust your subscription price accordingly, starting from the beginning of the next billing cycle."

5. Multiple Locations, Repurposing: Please note, our pieces are not permitted to be moved by the individual Hirer or related parties. Some venues, companies or planners may be given prior approval to move the hire range depending on circumstances and items.

6. Damage, Loss, Theft: You shall be liable on behalf of your clients to FN in the event of any damage, missing items, loss, or theft of the hired items.
   1. Damage: If upon Pickup any hired items are found damaged and/or soiled, FN shall assess whether they can be returned to pristine condition on a cost-effective basis. If FN is satisfied that this can be achieved, it shall charge you the costs incurred in doing so.  If it is not satisfied that this can be achieved, but instead considers that replacements are necessary, it shall charge you the full replacement cost as per Appendix 1.
   2. In case of missing items, you will be given a leniency of 24 hours to locate the items and return them to FN.

Please see Appendix 1 for a comprehensive list of replacement costs for individual items. Depending on the severity of the damage to the hire item the repair or replacement value will be invoiced to you.

It is your responsibility to communicate this to your staff/clients and make them aware of replacement costs in case of damage.

7. Modification/repair: You shall not alter or modify the hired items in any manner whatsoever, nor shall you attempt to repair any damage to them.  Any alteration or modification which you make to the hired items shall be deemed to be damage to them and will be charged according to section 5.4.
8. Third party use: Where your use of the hired items involves them being utilised by third parties (for example hire by event planners, function venues, photoshoots, or filmed advertisements), this does not diminish your responsibilities and obligations under this agreement to any extent whatsoever, and you shall be deemed the Hirer within this agreement. permission for third parties must be obtained in writing. 
   You agree to indemnify FN in respect of all claims made by third parties who suffer or claim to suffer any damage or injury arising from use of the hired items during the hire period.

9. Your rights in relation to the hired items are strictly those of a mere bailee, with the right to use them during the hire period in accordance with the terms of this agreement. You acknowledge and agree that the hired items remain the property of FN at all times, and you shall not at any time or in any way whatsoever do anything or make any representation (including by way of silence) contrary to FN ownership of them.
